Southern Fulfilment Solutions (hereinafter known as the 'Fulfilment Company').
Contracted company, (hereinafter known as 'the Company').
Deliveries:
The fulfilment company will accept deliveries on behalf of the company, including checking the amounts of items in a delivery, and the condition of items in said delivery. The fulfilment company will communicate this information to the company.
Order fulfilment:
The fulfilment company will pick and pack orders, and will also schedule courier collections for those orders based on the agreement between the two parties.
Returns:
The Fulfilment Company will collect returns from storage and check their condition. The Company will be emailed with the details regarding what has been returned and the condition of that return. Items will be put back into stock, or wasted (if required).
Cleanliness:
The Fulfilment Company will maintain and keep tidy the storage units and organise products as necessary.
Stock levels:
The Fulfilment Company will communicate low amount products, and out of stock products, so that the Company can order said stock. This includes materials needed by the Fulfilment Company to be able to complete the Services, such as cardboard boxes, filler paper and tape.
The Fulfilment Company will perform a stock count as and when needed to help provide accurate stock inventory numbers. Dependant on the size of a count this may entail a fee.
Standard of work:
In providing the services to the Company, the Fulfilment Company:
- shall exercise reasonable skill, care and diligence and shall apply the highest professional standards;
- shall do nothing which is likely to bring the Company into disrepute or which is materially contrary to the interests of the Company.
Chargeable work:
General order processing, accepting deliveries, returns processing, stock count.
All fees owed to the Fulfilment Company must be paid on the last working day of each month once the invoice has been received.
Errors:
Any errors on the part of the Fulfilment Company shall result in forfeiture of the Pick and Pack fee for that order. The Fulfilment Company will also pay for that item to be shipped again to the same customer plus will not take another Pick and Pack fee for reshipping said item for that order.
We do not take any responsibility for damage to your products from delivery to us and delivery to your customers, However any damages caused by us during fulfilment will result in in the Fulfilment Company paying for that item at cost price once proof of cost has been provided.
This constitutes a contract for services and the Fulfilment Company shall be wholly responsible for their own income tax and national insurance and other similar contributions or taxes.
Confidentiality:
The Fulfilment Company agrees to keep confidential all matters contained in this agreement or relating to the research or affairs of the Company, and not to disclose any such matters to any person, except in so far as such matters are properly in, or come into, the public domain.
Termination of contract:
If the Fulfilment Company persistently neglects, fails or refuses for whatever reason to perform to the satisfaction of the Company the Services which are to be provided this agreement can be terminated.
The notice period required by both parties is 12 weeks. The Company shall pay the Fulfilment Company the proportion of the fees which relate to services properly and necessarily provided up until expiry of the notice but the Company shall not be liable for any other loss or expense suffered by the Fulfilment Company.
In the event of the termination of this Agreement the Company shall only be liable to the Fulfilment Company in respect of fees and expenses in accordance with the terms of this Agreement up to the effective date of termination.
On the expiry or termination of this Agreement (however arising), the Fulfilment Company shall deliver up to the Company all documents, papers, data, notes, portfolios, equipment, materials of any sort, identity cards and keys which were furnished by the Company to the Fulfilment Company.
